1. Our Services and ProductsILANEX LTD is a full-service digital agency providing:
Web Creation: Custom design, development, and technical audits for WordPress, Shopify, and Wix platforms.
Digital Growth: Social media marketing, marketplace scaling (Amazon, Etsy, eBay), TikTok ad management, and advanced tracking configurations (Meta CAPI, GA4).
Digital Goods: Premium downloadable website templates, educational eBooks, and professional document templates.
2. Digital Goods License and UsageWhen you purchase a digital product (template, eBook, etc.) from us, you are granted a non-exclusive, non-transferable license to use the product.
Permitted Use: You may use website templates and document templates for your own business purposes or for a single client project.
Prohibited Use: You may not redistribute, resell, lease, license, or offer our digital products to any third party “as is” or as a standalone downloadable resource.
3. Web Creation & Marketing Service AgreementsWhen you engage us for custom web development or digital marketing services, the specific scope of work, deliverables, timelines, and costs will be outlined in a separate, formal proposal or statement of work.
Client Responsibilities: You agree to provide us with the necessary materials, information, and access (e.g., branding assets, login credentials, partner access) required to complete the project or run campaigns in a timely manner. Delays in providing these assets may impact project timelines.
Revisions and Approvals: Web design projects include a specified number of revision rounds as detailed in your proposal. Additional revisions outside the agreed scope will be billed at our standard hourly rate.
Third-Party Platforms: Our marketing and tracking services rely on third-party platforms (e.g., Meta, TikTok, Amazon, Shopify). We are not responsible for any changes to their algorithms, terms of service, API access, or account suspensions that are outside of our direct control.
4. Payments and BillingFees: All prices are clearly listed on our website or within your custom proposal. Unless otherwise stated, all payments must be made in GBP (ÂŁ).
Payment Terms: For custom web projects, we typically require an upfront deposit before work commences, with the remaining balance due upon completion and before final handover. Ongoing digital marketing retainers are billed monthly in advance.
Late Payments: We reserve the right to suspend services, pause ad campaigns, or withhold final website files if payments are not received by the agreed-upon due date.
5. Intellectual Property RightsPre-existing Material: We retain all intellectual property rights to our pre-existing code, frameworks, and templates used during the development process.
Final Deliverables: Upon receipt of full payment for a custom web creation project, ownership of the final visual design and customized website files transfers to you.
Client Materials: You guarantee that any text, graphics, photos, designs, or trademarks you provide to us for inclusion in your project are owned by you, or that you have permission from the rightful owner to use them.
6. Limitation of LiabilityTo the maximum extent permitted by UK law, ILANEX LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from your use of our services, website, or digital products. Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us for the specific service or product in question.
7. TerminationBy You: You may terminate ongoing digital growth retainers by providing the written notice specified in your client agreement (typically 30 days).
By Us: We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
8. Governing LawThese Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Changes to Terms of Service
We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes constitutes acceptance of those changes.
